JOB DESCRIPTION SUMMARY

This role is for an experienced Company Secretary to work with, and provide support to, the European business. This will include working closely with the legal, finance, investment, compliance and tax teams within the Greystar business and external service providers in the UK and Europe. This role will report to the Managing Director, Finance.

Key Role Responsibilities

  • Overall responsibility for ensuring our corporate entities in the UK and Europe comply with their respective company secretarial and administrative responsibilities (including maintaining statutory books, filing necessary documents, informing the registrar of key corporate changes and organising board meetings).
  • Managing relationships with UK administrators (where relevant) and overseas administrators (for European corporate activity), as well as taking overall responsibility for directing strategy with regard to administrator appointments
  • Responsibility for reporting status of all statutory filing requirements, and for monitoring / managing any changes in statutory regulations, as well as planning for and implementing procedural changes arising from these.
  • Review, and where applicable, work with stakeholders across the business to enhance processes, tools, systems, and methods for tracking, managing, and reporting progress on the completion and delivery of statutory filings, with a view to transitioning additional processes in-house.
  • Stay abreast of emerging issues, regulatory changes and company secretarial market practices in the real estate industry, providing updates to Greystar’s key business leaders as relevant, and recommend, develop and implement policies, practices, and other strategies to ensure compliance and mitigate or reduce risk.
  • Work with relevant internal and external advisors to set up and support new corporate entities in the UK and Europe and respond to inbound “KYC” (know your customer) requests & due diligence processes from lenders, investors and other third parties.
  • Oversee and co-ordinate the liquidation of entities no longer required by the business.
  • Review corporate documents to opine on transactions that require board consent for each entity, board meeting frequency and delegation of authority process.
  • Support legal, compliance, finance and tax teams with transactions (acquisitions, financings, restructuring) from a corporate administration perspective.
  • Communicate and work with the legal and compliance team in Europe and the US as needed.

Experience & Skills

  • Significant relevant experience in a company secretarial role with a good understanding of commercial processes, procedures and operational drivers.
  • Working knowledge of both UK and overseas incorporated entity compliance requirements.
  • Sound understanding of corporate governance issues.
  • Strong organisational and project management skills to juggle tasks and manage the workload with the ability to meet deadlines.
  • Have a methodical approach, with good attention to detail and the ability to communicate clearly and confidently at all levels.
  • Able to manage negotiations with a range of stakeholders.
  • A positive team player and attitude, with an adaptable and flexible approach along with ability to work collaboratively to drive results and support the wider team and business objectives.
  • Demonstrates willingness to be flexible and adaptable to changing priorities in a fast-paced environment, characterised by change and rapid growth.
  • Relevant experience gained in private equity / real estate would be advantageous.
